Terms and Conditions of Use

These Terms and Conditions of Use (“Agreement”) are entered into by and between you (“Client,” “you,” or “user”) and Elevatus Coaching LLC, a Colorado limited liability company (“Company,” “we,” “our,” or “us”). This Agreement governs your access to and use of all services, content, websites, coaching, consulting, downloads, and any affiliated platforms or media, whether paid or unpaid, physical or digital (collectively, the “Services”).

By engaging with our Services, you affirm that you have read, understood, and agreed to be bound by this Agreement in its entirety. If you do not agree to all of the following terms and conditions, you must discontinue all use of our Services immediately.

Eligibility and Nature of Services

You must be at least 18 years old and legally capable of entering into binding agreements to access or use our Services. By engaging with Elevatus Coaching LLC, you represent that you meet these requirements.

Our Services include coaching, consulting, mentorship, strategy sessions, frameworks, and digital products designed for personal and professional development. All Services are intended for educational and coaching purposes only. They are not therapy, legal services, psychological services, medical advice, or crisis support. We do not hold licenses to practice law, medicine, psychotherapy, or any other regulated profession.

Scope of Use and Individual Licensing

Each Service you purchase, access, or use is licensed for your individual use only. No license is granted for group use, institutional access, or team distribution without our express prior written consent.

You may not, under any circumstance, share, reproduce, repackage, resell, sublicense, distribute, broadcast, teach, or transmit our Services—whether in whole or in part—to any third party for free or for compensation. This includes uploading content to shared drives, distributing material via email or social media, teaching material in group programs, or using Elevatus Coaching content to coach others under your own name or brand.

Violation of this section will be considered intellectual property infringement and a material breach of this Agreement, enforceable under U.S. copyright and contract law.

Intellectual Property Rights

All materials provided by Elevatus Coaching LLC—including but not limited to the Elevatus Framework, the Elevatus Reset, video/audio content, coaching methodologies, written materials, course content, templates, recordings, downloads, and program formats—are protected intellectual property owned solely and exclusively by Elevatus Coaching LLC. This protection extends to all derivatives, adaptations, and improvements of the original materials.

Nothing in this Agreement shall be interpreted as transferring any intellectual property rights to you. You are prohibited from copying, altering, reverse-engineering, modifying, distributing, translating, or creating derivative works from any content without prior written approval.

Any use of our trademarks, logos, program names, or business identifiers without permission will constitute trademark infringement and will be subject to legal enforcement.

Non-Compete and Non-Disclosure Obligations

By engaging with our Services in any capacity, you agree to the following legally binding non-disclosure and non-compete terms, which survive the termination of your relationship with the Company for a period of three (3) years:

You acknowledge that the frameworks, ideas, systems, strategies, processes, structures, delivery methods, and intellectual property made available through our Services are confidential and proprietary. You agree not to use any of our materials, frameworks, systems, or business models to develop or deliver a competing product, course, consulting practice, coaching program, podcast, blog, book, or brand for any purpose that may reasonably be seen as directly or indirectly competitive with Elevatus Coaching LLC.

You further agree not to teach, coach, license, or repackage our content—whether verbatim or adapted—for the benefit of any business, client, employer, or audience. This includes private coaching, group workshops, online courses, corporate training, or intellectual property transferred under your own brand or entity.

You also agree not to disclose any confidential content, insights, behind-the-scenes information, or business practices of Elevatus Coaching LLC to any third party without written authorization. Breach of this clause may result in immediate legal action, including pursuit of damages, injunctive relief, and all attorney’s fees and enforcement costs.

Payments, Pricing, and Accepted Methods

All payments for Services must be completed in full prior to delivery unless otherwise agreed in writing. Prices are listed in U.S. Dollars unless otherwise specified.

We accept cash, credit card, debit card, PayPal, Stripe, Venmo, Zelle, or any other electronic or physical form of payment that we may choose to accept. You are solely responsible for any third-party transaction fees, foreign exchange charges, or processing costs.

We reserve the right to update pricing, discontinue offerings, or change payment platforms at any time without notice. Access to Services may be withheld if payment is not received or reversed.

Refunds, Rescheduling, and Cancellation Policy

Due to the nature of personalized coaching and instant access digital products, all sales are final. We do not offer refunds, exchanges, or credits unless otherwise specified in writing. Please review all Service descriptions carefully before purchasing.

Coaching sessions may be rescheduled with at least 24 hours’ notice. Failure to reschedule within that window or a no-show may result in forfeiture of the session. We do not guarantee availability of rescheduling slots or substitutes.

No refunds will be issued for dissatisfaction with results, outcomes, or perceived value. Success depends on your personal commitment, action, and follow-through.

Mandatory Reporting and Legal Disclosures

Elevatus Coaching LLC is not a licensed therapy or clinical practice. However, we respect the ethical and legal obligations to report credible disclosures of abuse, neglect, or threats of harm in accordance with state and federal law.

If, during the course of coaching or communication, you disclose information that indicates imminent risk of harm to self or others, or abuse/neglect of a minor, elder, or dependent adult, we may be legally obligated to report this information to the appropriate authorities. These disclosures will be made without prior notice and do not constitute a breach of confidentiality.

Confidentiality

We treat all personal and coaching-related information shared during your engagement with us as confidential unless disclosure is required by law. We will not share, sell, or distribute your private information to any third party without your consent. You agree to protect the confidentiality of our sessions and materials and not record or publish any interaction without our written permission.

Disclaimer of Legal, Medical, and Mental Health Services

Elevatus Coaching LLC does not provide legal advice, medical treatment, clinical therapy, or financial planning. We are not attorneys, therapists, doctors, licensed clinicians, or fiduciary agents.

All Services are for coaching, education, personal development, and informational purposes only. Engagement with Elevatus Coaching LLC does not create an attorney-client relationship, therapist-client relationship, or any legally privileged professional relationship.

You are solely responsible for seeking qualified legal, psychological, medical, or financial counsel as needed. We will not be held liable for decisions made or actions taken without the advice of a licensed professional. Your use of our Services implies your agreement to hold Elevatus Coaching LLC harmless from any resulting damages or adverse outcomes.

Privacy and Data Protection

We collect only the data necessary to provide Services and maintain contact with you. Your data will be stored securely and handled in accordance with the California Consumer Privacy Act (CCPA) and the General Data Protection Regulation (GDPR) where applicable. We do not sell your data or share it without your consent. By using our Services, you consent to our data practices as outlined in our Privacy Policy.

No Guarantees

We do not guarantee any particular result, transformation, or outcome from your use of our Services. Success is highly dependent on your own effort, decisions, personal circumstances, and commitment. All content and suggestions are offered in good faith, but results may vary significantly between individuals.

Limitation of Liability

To the fullest extent permitted by law, Elevatus Coaching LLC shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or related to your use of the Services. This includes but is not limited to personal dissatisfaction, business interruption, emotional distress, loss of income, or legal disputes.

In no event shall our liability exceed the total amount paid by you for the specific Service giving rise to the claim.

Governing Law, Jurisdiction, and Enforcement

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to any conflict of law principles. Any dispute arising under this Agreement shall be submitted to binding arbitration in El Paso County, Colorado.

Both parties agree to cover their own attorney’s fees, transportation, lodging, and related legal expenses incurred in the arbitration process. The prevailing party may seek enforcement in a court of competent jurisdiction and pursue all remedies available under law, including recovery of damages, injunctive relief, and full reimbursement of enforcement costs.

Violation of any clause related to intellectual property, non-disclosure, or non-compete shall constitute a material breach and will be subject to immediate legal enforcement.

Modifications and Updates

We reserve the right to modify or update these Terms and Conditions at any time without prior notice. Updates will be posted to our website. It is your responsibility to review these terms periodically. Continued use of the Services constitutes your acceptance of the updated Agreement.
